miziba.com/governance

Governed like the money depends on it. Because it does.

Miziba's moat is trust, and trust is a governance question before it is a technology one. Here is exactly how funds are held, how conflicts are engineered out, and how every action is recorded — under Ghanaian law.

01

Regulatory footing

We do not hold client funds ourselves. Money sits with licensed banking and payment partners, and every product is structured to operate inside — not around — the applicable regime.

Fund-holdingClient money is held by licensed banking and payment partners, structured under Ghana's Payment Systems & Services Act, 2019 (Act 987), supervised by the Bank of Ghana.
Data protectionPersonal and KYC data is processed under the Data Protection Act, 2012 (Act 843) — lawful basis, minimisation, retention limits and subject rights. See our Privacy Notice.
CorporateMiziba Infrastructure Ltd is incorporated in Ghana, operating from Accra with a London presence. Trade facilities are ring-fenced in dedicated special-purpose vehicles (SPVs).
ScopeNothing on this site is an offer of, or solicitation for, any financial facility, security, credit or insurance product. Facility mechanics are described for transparency only.
02

Independence by design

Most trust failures are conflict-of-interest failures. We remove the conflicts structurally, so integrity does not depend on anyone's goodwill.

No self-verification

Verifiers are engaged by Miziba, never by the party being verified. Inspectors are certified professionals whose signed verdict — not a review or a self-report — is what moves money.

No self-release

No role in any Miziba product can release its own funds. Money leaves escrow only against an independent, signed event, held with a licensed partner.

Separation of duties

Ring-fenced SPVs, an independent SPV director, and separate audit firms across borrower, SPV and operator. Related parties are disclosed in full.

03

The audit record

Every transition of money or state is written to an immutable audit record. This is the artefact that makes Miziba underwritable — the reason an institution can lend against what happens here.

WHAT IS RECORDED

Actor, time, evidence

Who acted, exactly when, and the hash of the evidence they relied on — captured at the moment of each funding, inspection, release and settlement.

WHY IT HOLDS

Tamper-evident

Records are append-only and hash-linked. A history cannot be quietly rewritten after the fact — the property banks, insurers and courts require.

WHO CAN SEE IT

Real-time visibility

Financiers see escrow, loading, inspection and settlement events as they happen through a partner portal — not in a monthly report.

04

Certified networks

A verdict only moves money if the person signing it is qualified and accountable. Verification is delivered through recognised professional bodies.

Professional standing required

Inspectors on Miziba Build are drawn from GhIE, GIA and GhIS-registered professionals — engineers, architects and surveyors — engaged independently and accountable to their institutes.

Verified membership

Every participant is KYC'd — national identity, company registry, licence, tax and insurance status — before they can transact. A registry, not a marketplace.

Named partners, licence references and audit firms are published as each is finalised. This page is a summary of governance principles, not legal or regulatory advice.

Regulators, banks and DFIs are welcome to look closely. The structure is the product.
